These Terms & Conditions ("Terms") form a binding agreement between Bridge Ltd. ("Bridge", "we", "us", or "our") and any corporate entity that registers for, applies for, or uses the Bridge platform (the "Service") to obtain, manage, or operate Visa® and Mastercard® corporate cards issued by our licensed banking sponsor. By submitting an application, accessing the client portal, or otherwise using the Service, you ("Corporate", "you", or "your") confirm that you have the authority to bind your organization and agree to be bound by these Terms. This is a template intended to illustrate the structure of a production agreement and should be reviewed and adapted by qualified legal counsel before commercial use.

1. Definitions

  • Sponsor Bank — the licensed, regulated financial institution that issues cards on Bridge's platform and holds the underlying banking relationship.
  • Card — a virtual or physical Visa or Mastercard payment instrument issued to a Cardholder under a Corporate's account.
  • Cardholder — an individual designated by the Corporate to hold and use a Card.
  • Portal — the web application through which Corporates apply for, request, and manage Cards.
  • KYC/KYB — Know Your Customer / Know Your Business verification procedures required by applicable law.

2. Eligibility & Onboarding

The Service is available only to registered business entities in good standing that successfully complete our KYC/KYB verification process, including submission of incorporation documents, proof of registered address, identification for directors and authorized signatories, and beneficial ownership disclosures. Bridge and the Sponsor Bank reserve the right, in their sole discretion, to approve, decline, or request additional information for any application, and to periodically re-verify existing Corporates in line with our AML / KYC Policy.

3. Description of Services

Bridge provides a software platform that enables Corporates to apply for corporate card programs, track application status, request additional Cards for employees or departments, and manage issued Cards — including viewing balances and transactions, funding Cards, freezing or unfreezing Cards, and transferring funds between Cards. Cards themselves are issued, funded, and settled by the Sponsor Bank under Visa and Mastercard network rules; Bridge does not hold customer funds and is not a bank.

4. Account Registration & Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@bridgeltd.net if you suspect unauthorized access to your account or a Card. We may suspend access to protect the security of the Service or your account.

5. Card Issuance & Use

Cards are issued at the sole discretion of the Sponsor Bank following approval of a card request. Each Card is subject to spending limits, monthly limits, and usage controls configured by your administrators, and may only be used for legitimate business expenses of the Corporate. Cardholders are not permitted to use Cards for personal purchases, cash advances outside permitted channels, or any transaction prohibited under applicable law or network rules.

6. Fees & Charges

Applicable subscription fees, card issuance fees, funding fees, foreign exchange charges, and other charges are disclosed at the point of application, in your account plan, and in the Cardholder Agreement. We reserve the right to change our fee schedule with at least 30 days' prior notice to active Corporates.

7. Corporate Responsibilities

  • Ensure all information submitted during onboarding and card requests is accurate and kept up to date.
  • Promptly report lost, stolen, or compromised Cards and freeze them via the Portal without delay.
  • Ensure Cardholders comply with these Terms and the Cardholder Agreement.
  • Maintain sufficient funds to cover authorized transactions and fees.

8. Prohibited Uses

You must not use the Service to engage in money laundering, terrorist financing, sanctions evasion, fraud, or any other illegal activity; to process transactions for prohibited merchant categories under network rules; or to circumvent any spending control or verification mechanism of the Service.

9. Third-Party Services

Card issuance, authorization, clearing, and settlement are performed by our licensed issuing processor and Sponsor Bank on our behalf, and are subject to Visa and Mastercard network rules. We are not responsible for acts or omissions of merchants, payment networks, or other third parties outside our reasonable control.

10. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law. To the fullest extent permitted by applicable law, Bridge is not liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising from your use of the Service.

11. Indemnification

You agree to indemnify and hold harmless Bridge, its officers, employees, and the Sponsor Bank from any claims, losses, or liabilities arising from your breach of these Terms, misuse of the Service, or violation of applicable law.

12. Suspension & Termination

We may suspend or terminate your access to the Service, including freezing or closing Cards, if we reasonably suspect fraud, a compliance violation, a breach of these Terms, or if required to do so by the Sponsor Bank, a card network, or a regulator. You may close your account at any time by contacting support@bridgeltd.net, subject to settlement of outstanding balances.

13. Dispute Resolution

We encourage Corporates to first contact our support team to resolve any dispute informally. If a dispute cannot be resolved informally within a reasonable period, it shall be resolved through binding arbitration or the courts of competent jurisdiction as specified in your master services agreement, if any.

14. Amendments

We may update these Terms from time to time. Material changes will be notified via email or an in-Portal notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the jurisdiction in which Bridge is incorporated, without regard to conflict-of-law principles.
