Cardholder Agreement

This Cardholder Agreement ("Agreement") governs the issuance and use of Visa® and Mastercard® corporate cards ("Cards") made available through the Bridge platform and issued by our licensed banking sponsor ("Sponsor Bank"). It applies to the corporate entity to whom Cards are issued ("Corporate") and each individual authorized to hold or use a Card ("Cardholder"). This is a template and should be reviewed by qualified legal counsel before use in production.

1. Parties & Scope

This Agreement is between the Sponsor Bank, acting through the Bridge platform, the Corporate, and each Cardholder. It supplements, and should be read together with, our Terms & Conditions. Card issuance, funding, authorization, and settlement are performed by the Sponsor Bank; Bridge provides the software through which Cards are requested and managed.

2. Card Issuance & Ownership

Cards remain the property of the Sponsor Bank at all times and are issued solely for the Corporate's legitimate business use. A Card is issued only after the associated card request has been approved by an authorized administrator and a card has been assigned from the issuing network.

3. Activation & Use

Cards are activated automatically upon issuance and are immediately visible in the Cardholder's or administrator's Portal view. Cardholders must safeguard Card details, PINs, and one-time verification codes, and must not share them with any unauthorized person.

4. Virtual & Physical Cards

Virtual cards are issued instantly and are intended for online and card-not-present transactions. Physical cards are manufactured and shipped to the delivery address provided in the card request and may take additional time to arrive; they must be signed and kept secure upon receipt.

5. Spending Limits & Controls

Each Card may be subject to a per-transaction limit, a monthly limit, department or cost-center tagging, and other controls configured by the Corporate's administrators. Transactions exceeding configured limits, or falling outside permitted merchant categories, will be declined.

6. Funding & Top-Ups

Cards draw funds from a balance that the Corporate funds through the Portal ("top-up"). Top-ups are processed through our issuing partner and are typically reflected in the Card balance promptly, though processing times may vary. The Corporate is responsible for maintaining sufficient balance to cover intended Card usage.

7. Fees

Card issuance fees, monthly maintenance fees (if any), foreign exchange charges, and other applicable fees are disclosed in your account plan and deducted from the relevant Card or corporate balance in accordance with our fee schedule.

8. Declined Transactions

Transactions may be declined for reasons including insufficient balance, exceeding a configured limit, a frozen Card status, merchant category restrictions, or a suspected fraud signal. Bridge and the Sponsor Bank are not liable for any loss arising from a declined transaction made in accordance with this Agreement.

9. Foreign Transactions & Currency Conversion

Transactions made in a currency other than the Card's billing currency will be converted at the exchange rate applied by the card network on the date of settlement, plus any applicable foreign transaction fee disclosed in your account plan.

10. Lost, Stolen, or Compromised Cards

If a Card is lost, stolen, or suspected to be compromised, the Cardholder or an administrator must freeze it immediately via the client Portal and notify us at support@bridgeltd.net. We may permanently close a Card and issue a replacement following such a report.

11. Liability for Unauthorized Use

The Corporate is responsible for all authorized transactions made on its issued Cards. Once a Card has been reported lost, stolen, or compromised and frozen through the Portal, the Corporate's liability for subsequent unauthorized transactions is limited in accordance with applicable card network rules and law.

12. Freezing & Closure

Cards may be frozen or unfrozen instantly by an authorized administrator via the Portal. Bridge or the Sponsor Bank may also freeze or close a Card at any time on reasonable suspicion of fraud, a compliance violation, or breach of this Agreement, or at the Corporate's request.

13. Statements & Disputed Transactions

Card balances and transaction history are available in real time through the Portal. If you identify a transaction you believe is incorrect or unauthorized, contact us within 60 days of the transaction date so we can investigate and, where appropriate, initiate a dispute with the card network on your behalf.

14. Term & Termination

This Agreement remains in effect for as long as a Card is active. Either party may terminate a Card's participation in the program at any time; outstanding balances must be settled prior to closure.

15. Amendments

We may update this Agreement from time to time. Continued use of an issued Card after notice of a material change constitutes acceptance of the revised Agreement.
